Chapter 29, Negotiating with Dana Point

Last night Karen had told us she wanted to take the bus to school. There was a bus stop right up the hill on PCH and it would let her off right on the corner of the school. It would only be a 15 minute ride and she would have plenty of other classmates on the same bus. Her arguments convinced us to let her try public transportation. It was 60 cents each way and was money well spent. We also found out that the school Tim and Tom went to was located about 300 yards past Oxford Hall. We set up a carpool with Susan. She would take the kids to school, and Jenifer or I would pick them up.

This meant neither of us had to drive the kids to school Friday. We could meet with Jimmy and Steve before we met with the city of Dana Point at city hall at 9:30.

Jimmy arrived for coffee and brought donuts for everyone.

The kids left for school and we talked strategy for the meeting, Jimmy mentioned a few more calls he had gotten, but nothing of any substance. Jimmy was going to start things off and I would step in to make our offer.

We left at 9 and arrived in plenty of time. The mayor went all out and had a variety of pastries and bagels with plenty of coffee. We sat around the large conference and the mayor introduced his staff, several department heads, and a Mr. Thomas, the owner of the development company who had been working the project. Jimmy introduced himself and us as the owners of Million Dollar Homes.

Jimmy started off, "Through a fortunate set of circumstances Million Dollar Homes became the owner of Doc Parker's property. Mr. McKinney and Mr. Zee are half owners of MDH whose corporation paperwork recently cleared final hurdles and is now a registered company located in Laguna Beach. Mr. McKinney and the seller, one Felicia Gold-Parker who had complete Power of Attorney signed a bill of sale for said property and executed escrow at Dana Point Escrow Company on August 28th. At close of escrow, on September 8th Mr. McKinney signed and transferred the property to MDH simultaneously.

MDH is looking forward to developing this land into homes, and working closely with the city, county, and state agencies to make this happen in a timely manner. I don't see how this could work out better for everyone concerned, except for Mr. Thomas and his company who have been working on this development nearly two years.

That was my clue to jump in. I stood and addressed Thomas directly.

"Mr. Thomas, the circumstances surrounding my acquisition of this property were indeed fortuitous for myself and my partner. As fortunate as they were for us, they were equally unfortunate for you and your company. Perhaps even more so for you because of all the resources and time you have invested over the past two years. Allow me to ask this. Mr. Thomas, has your company received any compensation for their efforts in the development of this property?"

"No, sir, we have not. This was a risk we were taking on behalf of the city, knowing that we would make back our investment once the project was approved and the land acquired."

"Thank you, Mr. Thomas. If I were to come to your company today as a property owner, what would you charge me to do the planning of the development?"

"Our current client billing rate is $40 an hour.

"I presume you have documentation of the hours your company has spent on this Parker project?"

"Yes sir we do."

"And you also had external expenses like a survey?"

"Yes sir we did have a few."

"Have you entered into conditional agreements with any customers for purchase of any of the sub-divided plots?

He clearly didn't like this question, and answered reluctantly. "Yes we have a few potential buyers who wish to purchase land there."

"Do you have any preliminary home designs for these specific customers?"

He could see where this was going and didn't like it, but he couldn't lie because there were people in the room that knew he had designs, "Yes we have two completed designs and two in progress."

I addressed the mayor and his staff. "I understand the development work, including the plot-plan have received preliminary city approval?"

The head of the city planning department answered, "Yes, as well as the two completed home designs."

"If we can come to a complete agreement today by all parties, my proposal to you, Mr. Thomas is this: You will turn over all development materials relevant to this property, including but not limited to, drawings, plot-plans, surveys, customer information, home designs completed or not, and an itemized list of these expenses and support documentation, for which MDH will pay you either the expense or $40 per hour for resources hours and will add on top of that an additional 33% to compensate you for not continuing on this project.

"I know I appreciate your efforts and I'm sure the city will show their appreciation by continuing to work with your company on other projects in the future."

Does this seem fair Mr. Thomas, Mr. Mayor?

Thomas replied. "My father who founded Thomas Developing always taught me not to be a sore loser. While I will miss not working on this beautiful property, and the profit we would realize from it, your offer is more than fair. In this situation there are other companies out there that simply would have kicked us aside without any compensation. Mr. McKinney, I thank you and would like to consider you a friend.

We reached across the table and shook hands then sat down. Jimmy took over again.

"We understand that Alistair B. Johansson of Ritz-Carlton needs 53 feet of this land to be able to complete his long-delayed hotel plans on the land adjacent to the north end of this property. He has made us a generous offer which we are prepared to accept.

"We also understand the beach access requirements of the California Coastal Commission and in conjunction with those that the city would like to install a parking lot, a small picnic area, and an access road to the life guard station down on the beach on the south end.

"So here's the punch line, but I think you will be pleased. For our cooperation, Million Dollar Homes will sell the 53 feet to Ritz Carlton immediately upon the sub-division of the lot. They will donate to the city of Dana Point a reasonable amount of land for the parking lot, park, and access road.

"In return, the city will fast-track the sub-division of the property pending review of the existing plot-plan; MDH will receive priority on all permits and inspections related to this sub-division; the city will install or upgrade, sewers, water, power, street lighting, streets, curbs and sidewalks and any other city related services I might have forgotten; and Million Dollar Homes will build the houses over the next couple years.

"Is this request at all unreasonable gentlemen?"

There were no objections.

"Does someone have the current plot-plan showing Ritz Carlton and the park?"

One was produced and unrolled on the table. The city wanted about 200 feet for the park.

Steve and I took a few minutes to look it over, "Can we sign this as approved by MDH?"

Thought not normally done, he pointed to an open space and I signed, "Plan Approved by Million Dollar Homes," then signed my name below and Steve signed below mine.

"There, that's done. Do we need to sign some sort of an agreement stating everything we said here today? Or is our word and handshake good enough?

The Mayor said, shaking my hand, "Mr. McKinney, I'm good with your word and I hope you're good with mine. But I will have my secretary send out the minutes from today's meeting as the `official record'.

Mr. Thomas spoke up, I have one more thing. I for one would like to know how you ended up with the property all of us have anxiously been waiting on for two years. Would you mind telling the story?"

I quickly told the story of going to breakfast with my children, finding an estate sale, buying the cars and the house contents, then being offered the house by Doc Parker's daughter.

"Why did she sell it to you for $800,000?"

"A friend of Doc Parker visited them in the hospital and offered her $800,000, but then immediately withdrew his offer, since he didn't have the money. She and her brother decided 800 would be the price they wanted. They applied Alabama/Georgia economics in Southern California.

"And don't forget I paid $16,000 for the contents of the house."

"You got Doc Parker's car?" the mayor asked.

"If you mean the 1924 Rolls Royce Silver Ghost Pall Mall Touring Car, then yes. There was also a 1956 Chevrolet Bel Air. Both are being brought back to showroom condition right now."

"Mr. McKinney, would you and your party mind waiting for me in my office upstairs? I'll only be a few minutes more."

The meeting was officially over, so we took the elevator to the top floor. We waited in the reception room outside his office till a young lady came in inviting into his office. "He'll be right with you."

He joined us a few minutes later. "Thank you for waiting for me. I wanted to thank you personally. We had imagined all kinds of ugly scenarios, but you quickly allayed our worst fears and turned the meeting into one of the most productive meetings I've ever attended. You gentlemen, and lady, were most cooperative.

"You gave the city what we needed, and you reminded some department heads that they need to do their jobs providing services by asking only for what they are supposed to provide. You know you had us by the balls don't you? We figured we were going to have to purchase the park property at around 5 million." We nodded. "But you didn't try to take advantage of that leverage. I really appreciate that.

"I read the riot act to those dept. heads after you left. If you have any issues getting anything, you let me know."

"I would like a copy of the plot-plan if you have one, till I can get the data from Mr. Thomas."

"I can take care of that, I have one right here. He pulled it from his desk and gave it to Steve.

He unrolled it. Steve noticed something. This upper row of houses, they have larger square footage, but have a 1 in each square. The lower houses are narrower, but have a 3 in each plot. Are those numbers how many floors?"

"Yes, the upper row would block the view of the existing houses if they're more than one story. The lower row doesn't have that problem. It is zoned up to three stories."

"Can we move our equipment onto one of the lots and put a 10-foot fence around it, while we build?"

"Of course, most builders do it that way. If Code Enforcement tries to hassle you over that, call me."

"Mr. Mayor, thank you very much, we'll get out of your hair now and get to work building Dana Point some beautiful homes."

It turned out Mr. Thomas was true to his word. He called the next week saying he had everything he promised ready to turn over. The invoice was still being assembled with the back-up data and wouldn't be ready for another week. The day he called, I went to pick up the boxes and Thomas was very accommodating. He offered help any way they could provide.

We left the Mayor's office and we all went out for lunch in the harbor area of Dana Point. If the city was going to be this good to us, at least we could eat at one of their fine restaurants. I don't know if it was the company I was with, the results of the meeting, of just the restaurant, but it was one of the best lunches I'd ever had.

The first Friday of the school was a shortened day at the high school and Karen was home at 2. She was in much better spirits than she had been after her first day. It seems that where she lives had spread around and those that hated her for getting out of a 1976 Suburban, suddenly wanted to be friends because of her cool house. After the boys joined them, Grandma left going upstairs. I didn't see any of what went on in Donny's room, I'm just going by what he told me.

Mom went in to where Donny was working, looking over his shoulder so that her breasts were rubbing his arm.
